Stockchat Term of Service

Welcome to Stockchat! These Terms of Service ("Terms" or "Agreement") govern your access to and use of the Stockchat mobile application, website, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years of age to create an account and use this Service. By registering, you represent and warrant that you have the legal capacity to enter into this Agreement. If you are accepting these Terms on behalf of a legal entity (such as a corporate brand account), you represent that you have the authority to bind that entity.
2. Strictly No Financial Advice
Stockchat is a social networking platform designed for educational, informational, and entertainment purposes.
Not a Broker or Advisor: Stockchat is NOT a registered broker-dealer, investment advisor, or financial institution.
No Recommendations: No content published on the Service by Stockchat or its users constitutes a recommendation to buy, sell, or hold any security or financial product.
User Responsibility: You are solely responsible for your own investment decisions. You agree that you will not rely on any user-generated content on Stockchat to make financial decisions. Market data provided on the app may be delayed or inaccurate.
Platform content is for discussion and entertainment only and does not constitute investment, tax, or legal advice.
3. Securities, Market Integrity & Prohibited Trading Conduct
You may not use the Service to engage in or promote conduct that violates securities laws or market integrity rules, including:
- Insider trading: Trading or encouraging others to trade on material non-public information (MNPI).
- Sharing MNPI: Posting, hinting at, or soliciting confidential or non-public corporate information.
- Market manipulation: Coordinated pump-and-dump schemes, false or misleading statements about securities, or deceptive trading signals intended to move prices.
We may remove content, limit distribution, suspend accounts, and cooperate with regulators or law enforcement when we detect suspected violations. Use in-app reporting tools to flag suspected manipulation or illegal content.
4. Content Ownership and Broad License
We do not claim ownership of the content (posts, comments, images, charts, videos) you create and share on Stockchat ("User-Generated Content" or "UGC"). However, to operate our platform, you must grant us legal permissions.
The License You Grant Us: By posting UGC, you grant Stockchat a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content. This allows us to show your posts in the algorithmic feed, format them for mobile displays, and use them in promotional materials.
Account Deletion: This license ends when your content is deleted from our systems. You can delete your content individually or all at once by deleting your account. (Note: Content may persist in backup copies for a limited time).
5. Community Guidelines & Prohibited Conduct
You agree to use Stockchat responsibly. You may not create, post, share, or monetize content that:
- Violates the Law: Promotes illegal acts, fraud, or violates securities laws (including "pump and dump" market manipulation schemes).
- Is Adult or Sexual: Contains nudity, pornography, or explicit sexual acts; offers or promotes adult services; or includes sexually explicit live chat, audio, or video. You may not charge for access to such content (including through paid subscriptions, tips, or other monetization).
- Is Harmful, Hateful, or Extremist: Engages in, encourages, promotes, or celebrates unlawful violence; contains hate speech toward any group based on race, religion, disability, gender, sexual orientation, national origin, or any other immutable characteristic; or promotes bullying, harassment, doxxing, non-consensual intimate imagery, self-harm, or violent extremist or dangerous organizations.
- Infringes on Rights: Violates someone else's intellectual property rights, copyrights, or trademarks — including distributing copyright-infringing material (for example, leaked or pirated music, video, or other media you do not have rights to share or sell).
- Spams or Scams: Includes unauthorized commercial communications, phishing links, or solicits money from users under false pretenses.
6. Commercial Content and AI-Generated Media
To maintain trust on the platform, we require strict transparency regarding advertising and artificial intelligence:
Commercial Disclosure: If you post content promoting a brand, product, or service (including affiliate links or paid stock promotions), you MUST clearly disclose the commercial nature of the content using hashtags like #ad or #sponsored at the beginning of your post.
AI-Generated Content: Any content that utilizes artificial intelligence to create highly realistic depictions of people, voices, or events (e.g., deepfakes) must be clearly labeled as AI-generated. You may not use AI to mislead users about financial data, news events, or personal endorsements.
7. Content Moderation & Account Termination
We reserve the right to manage the platform to ensure a safe environment.
Content Removal and Algorithmic Demotion: We can remove any content or information you share on the Service if we believe it violates these Terms. We also reserve the right to limit the algorithmic reach of your content (e.g., removing it from public feeds) without prior notice.
Account Suspension/Termination: We can suspend or permanently disable your access to Stockchat if you repeatedly infringe other people's intellectual property rights, violate our Community Guidelines, or create legal risk for us.
8. Copyright Infringement (DMCA Policy)
We respect intellectual property rights. If you believe your copyrighted work has been copied in a way that constitutes copyright infringement, please submit a report in the app under Settings → Report Issue. Your report must include:
- A description of the copyrighted work.
- The exact URL or location of the infringing material on Stockchat.
- Your contact information and a statement made under penalty of perjury that you are the copyright owner or authorized to act on their behalf.
9. Disclaimers of Warranties
The Service is provided "as is" and "as available." To the extent permitted by law, we disclaim all warranties, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that Stockchat will be safe, secure, or error-free, or that it will function without disruptions.
10. Limitation of Liability
To the maximum extent permitted by law, Stockchat (and its affiliates) shall not be liable for any lost profits, lost revenues, lost data, financial losses, or indirect, special, consequential, or punitive damages arising out of or in connection with these Terms or the Service. In no event will our aggregate liability arising out of this Agreement exceed the greater of one hundred U.S. dollars ($100) or the amount you have paid us in the past twelve months.
11. Paid subscriptions & chargebacks
Stockchat Premium and paid creator memberships renew automatically until you cancel in Settings or through the applicable app store. Canceling stops future billing at the end of the current period — that is standard subscription management, not a dispute or refund.
Creator memberships do not support in-app refund requests. If you believe a charge is unauthorized, you may dispute it with your card issuer; that bank chargeback process is separate from canceling renewal in Settings.
Chargebacks may result in account restrictions and loss of subscriber access. We may accept chargebacks without paying the creator for the disputed period. Creator chargeback losses are deducted from deferred creator payouts, not from a separate reserve funded by other users.

12. Dispute Resolution: Arbitration & Class Action Waiver
Please read this section carefully—it may significantly affect your legal rights.
If you are located in the United States, you and Stockchat agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding, individual arbitration, rather than in court. You and Stockchat waive the right to a trial by jury and the right to participate in a class action lawsuit or class-wide arbitration.
13. Updating These Terms
We may change our Service and policies, and we may need to make changes to these Terms so that they accurately reflect our Service. We will notify you (for example, by email or through the Service) before we make material changes to these Terms and give you an opportunity to review them before they go into effect.
